Welcome to TUTO App (“we,” “our,” or “us”). These Terms and Conditions govern your use of the TUTO mobile application (the “App”) and all related services provided by S.C TUTO APP SRL.

TUTO is a comprehensive automotive assistance platform that connects drivers with emergency services, auto repair shops, and provides premium features for enhanced roadside assistance.

2. Definitions

• User: Any individual who downloads, installs, or uses the TUTO App.
• Services: All features and functionalities provided through the TUTO App, including but not limited to SOS emergency assistance, auto service directory, premium subscriptions, and partner services.
• Partner Services: Third-party auto repair shops, mechanics, and service providers listed on the platform.
• Premium Subscription: Paid subscription services offering enhanced features and benefits.
• Content: All information, data, text, images, and other materials available through the App.

3. Acceptance of Terms

By creating an account or using any part of the TUTO App, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy.

We reserve the right to modify these terms at any time. Continued use of the App after changes constitutes acceptance of the modified terms.

4. User Accounts and Registration

4.1 Account Creation

To access certain features of the App, you must create an account by providing accurate and complete information, including:

• Full name
• Valid email address
• Phone number
• Vehicle information (optional but recommended)

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms and Conditions or engage in fraudulent, abusive, or illegal activities.

5. Services Provided

5.1 SOS Emergency Assistance

The TUTO App provides an SOS feature that allows users to request emergency roadside assistance. This feature connects you with nearby service providers and emergency contacts.

5.2 Auto Service Directory

The App provides a directory of auto repair shops, mechanics, and service providers. Information is provided for convenience and does not constitute an endorsement or guarantee of service quality.

5.3 Premium Subscription

Premium subscriptions offer enhanced features including:

• Priority SOS response
• Extended service coverage
• Exclusive discounts with partner services
• Advanced vehicle tracking and maintenance reminders
• 24/7 premium support

5.4 Partner Services Registration

Auto service providers can register as partners through the App. Partner registration is subject to verification and approval. Partner services are billed at €19.99 per month with automatic renewal.

6. Payment Terms

6.1 Subscription Fees

Premium subscriptions and partner services are billed on a monthly basis. All fees are charged in Euros (€) and processed through Stripe payment gateway.

6.2 Payment Processing

By providing payment information, you authorize us to charge the applicable fees to your payment method. You represent that you have the legal right to use the payment method provided.

6.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date.

6.4 Refund Policy

Refunds are provided on a case-by-case basis. To request a refund, contact us at contact@tuto-app.com within 14 days of the charge.

6.5 Price Changes

We reserve the right to modify subscription prices with 30 days’ advance notice. Continued use after price changes constitutes acceptance of the new pricing.

7. User Responsibilities

As a user of the TUTO App, you agree to:

• Provide accurate and up-to-date information
• Use the App only for lawful purposes
• Not interfere with or disrupt the App’s functionality
• Not attempt to gain unauthorized access to any part of the App
• Not use the App to transmit harmful, offensive, or illegal content
• Not impersonate any person or entity
• Comply with all applicable laws and regulations
• Respect the intellectual property rights of TUTO and third parties

8. Third-Party Services and Partners

8.1 Independent Contractors

All auto service providers, mechanics, and emergency responders listed on the TUTO App are independent third parties. TUTO does not employ these service providers and is not responsible for their actions, services, or pricing.

8.2 Service Quality

While we strive to list reputable service providers, TUTO makes no warranties or representations regarding the quality, reliability, or availability of third-party services.

8.3 Disputes with Service Providers

Any disputes regarding services, pricing, or quality must be resolved directly with the service provider. TUTO is not liable for disputes between users and service providers.

8.4 External Links

The App may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of use of external sites.

9. Intellectual Property Rights

9.1 Ownership

All content, features, and functionality of the TUTO App, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of S.C TUTO APP SRL and are protected by international copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms and Conditions.

9.3 Restrictions

You may not:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Remove or alter any copyright, trademark, or proprietary notices
• Use the App for commercial purposes without authorization
• Extract or scrape data from the App using automated means

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference.

11. Disclaimers and Limitations of Liability

11.1 Service Availability

The TUTO App is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that the App will be uninterrupted, secure, or error-free.

11.2 No Warranty

We make no warranties regarding:

• The accuracy, reliability, or completeness of information provided
• The availability or response time of service providers
• The quality of services provided by third parties
• The suitability of the App for your specific needs

11.3 Limitation of Liability

11.4 Maximum Liability

Our total liability to you for all claims arising from your use of the App shall not exceed the amount you paid to TUTO in the 12 months preceding the claim, or €100, whichever is greater.

11.5 Emergency Services Disclaimer

The SOS feature is not a substitute for official emergency services (police, ambulance, fire department). In life-threatening emergencies, always contact local emergency services directly (112 in Europe, 911 in the US, etc.).

12. Indemnification

You agree to indemnify, defend, and hold harmless S.C TUTO APP SRL, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:

• Your use or misuse of the App
• Your violation of these Terms and Conditions
• Your violation of any rights of third parties
• Your violation of any applicable laws or regulations
• Any content you submit or transmit through the App

13. Termination

13.1 Termination by User

You may terminate your account at any time by contacting us at contact@tuto-app.com or through the App settings. Termination does not entitle you to a refund of any fees already paid.

13.2 Termination by TUTO

We reserve the right to suspend or terminate your access to the App immediately, without prior notice, for any reason, including but not limited to:

• Violation of these Terms and Conditions
• Fraudulent or illegal activities
• Abusive behavior toward other users or service providers
• Non-payment of subscription fees
• Extended periods of inactivity

13.3 Effect of Termination

Upon termination, your right to use the App will immediately cease. All provisions of these Terms and Conditions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

14. Geographic Restrictions

The TUTO App is primarily designed for use in European countries. While we strive to expand our coverage, service availability may vary by location. Some features may not be available in all regions.

You are responsible for compliance with local laws and regulations when using the App in your jurisdiction.

15. Modifications to the App and Terms

15.1 App Updates

We reserve the right to modify, suspend, or discontinue any aspect of the App at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the App.

15.2 Terms Updates

We may update these Terms and Conditions periodically. We will notify you of significant changes through the App or via email. Your continued use of the App after such modifications constitutes acceptance of the updated terms.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

16.2 Jurisdiction

Any disputes arising from these Terms and Conditions or your use of the App shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania.

16.3 Dispute Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve disputes informally by contacting us at contact@tuto-app.com. We will make reasonable efforts to resolve the dispute within 30 days.

17. Miscellaneous Provisions

17.1 Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and TUTO regarding your use of the App and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms and Conditions or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, or government actions.

These Terms and Conditions are provided in English. In case of any discrepancy between the English version and any translation, the English version shall prevail.
